1. DEFINITIONS

a. "PRINCIPAL" shall mean A to Z Directory

b. "AGENT" shall mean any agent of the PRINCIPAL, engaged to promote, act on behalf of, act as cashier for, sell, distribute, support, or organise any matter on the authorisation of the PRINCIPAL to promote the PRINCIPAL'S business.

c. "CLIENT" shall mean any person who enters into, or wishes to enter into an agreement to purchase advertising SPACE from the PRINCIPAL.

d. "SPACE" shall mean any area, word, link, phrase or otherwise, which is rented, sold, lent, used or otherwise, by the PRINCIPAL to a CLIENT for the purpose of affixing an advertising link

e. "DIRECTORY" shall mean A to Z DIRECTORY which links to and from this website

2.CONTRACT

a. Any contract for SPACE will be between the PRINCIPAL and a CLIENT. All contracts will be for a period of 12 months.

b. Every CLIENT will be given the oppertunity, to signify to the PRINCIPAL, the fact that he wishes to enter into a further CONTRACT, when the current CONTRACT comes to an end. That is, the CLIENT wll have 'first refusal' to renew the current CONTRACT.

3. PAYMENT

a. No weblink between the PRINCIPAL and the CLIENT will exist until full payment for the CONTRACT is received by the PRINCIPAL

b. Payment for a CONTRACT which is being renewed by a CLIENT, must be made in full prior to the last day of the current CONTRACT period,

4. LINK RESTRICTIONS

a. The link from the DIRECTORY must not lead, either directly or indirectly, to any site which contains any illegal, pornographic, hate, racial, terrorist or other content matter which the PRINCIPAL considers to be inflamatory to any person.

b. Any such link found by the PRINCIPAL will be broken

5.LINK CHANGES

If at any time, during the period of the CONTRACT, the the content of a LINK site, or the link, is found to have been changed in such a way that it leads to any item listed above as a restricted item, then the link will be removed and the CONTRACT will be terminated immediately.

6. INDEMNITIES

a. The CLIENT agrees to be bound by the above Terms and Conditions and agrees to indemnify the PRINCIPAL, its sponsors, associates and agents from any, and all damages, or legal issue from the result of failing to agree to these Terms and Conditions.

b. The PRINCIPAL makes no guarantee, to any CLIENT in any manner whatsoever, of any site traffic or search engine placement.

c. The PRINCIPAL reserves sole right to reject any word, link or text for any reason.
